Please fill out this form to start the Mutual Confidential Disclosure Agreement (MCDA) review and signature process. You’ll need this agreement whenever you share confidential or proprietary information with someone outside of UAlbany.

Before starting, you can preview the standard MCDA template.

If your external partner needs changes to the terms, do not submit this form—instead, use the Word template and email it to uatto@albany.edu. 

Process:

1. Fill out and submit your contact information below.
2. After submission, you’ll receive an email with a link to the MCDA template to review and sign.
3. Complete all required fields and sign digitally (terms cannot be changed).
4. External partner fills in their information and signs electronically.
5. The Office of Technology Transfer reviews for approval.
6. All parties receive a copy of the signed agreement.

Important: Please agree in advance with your partner on what to include in the "Description of proprietary data/information/materials” section of the agreement.
